MaestroWay Terms of Service

Effective date: 31st July 2025

These Terms of Service ("Terms") govern your access to and use of services provided by MaestroWay Ltd ("MaestroWay", "we", "us", or "our"). By using our services, websites, or platforms (collectively, the "Services"), you agree to these Terms. If you do not agree, you must not use the Services.

1) Definitions

• Client/You: The individual or entity subscribing to or using MaestroWay Services.

• Platform: MaestroWay’s managed environment built on third-party infrastructure and other subprocessors.

• Subscription: Your paid plan with MaestroWay (Essentials, Smart, Ultimate, or custom).

2) Services

MaestroWay provides marketing automation, CRM, AI chatbot, website, and related business automation tools. These Services are delivered through MaestroWay-managed accounts hosted on third-party infrastructure.

We may modify or discontinue features at any time, with reasonable notice where possible.

3) Accounts

You must provide accurate and complete information to register. You are responsible for maintaining account credentials and restricting access. You agree not to share your login outside your organization.

4) Subscriptions, Fees, and Payment

• Services are offered on a subscription basis. Fees are billed monthly or annually, depending on your plan.

• Setup fees and subscription charges are non-refundable.

• MaestroWay may suspend or terminate Services for non-payment.

• Prices are subject to change with notice.

5) Acceptable Use

You agree not to:

• Use the Services for unlawful, harmful, fraudulent, or abusive purposes.

• Send spam, unsolicited marketing, or collect personal data without proper consent.

• Interfere with or disrupt the Platform or third-party integrations.

• Misuse the Services in violation of data protection or intellectual property laws.

6) Third-Party Services

The Services integrate with third-party applications (e.g., Facebook, Google, TikTok, Twilio, Stripe, etc.). Your use of these integrations may be subject to additional third-party terms. MaestroWay is not responsible for outages, limitations, or failures of those providers.

7) Intellectual Property

• MaestroWay IP: All rights in our trademarks, branding, websites, and original content remain with MaestroWay.

• Platform IP: The underlying software and infrastructure (e.g., GoHighLevel) remain the property of their owners.

• Client Content: You retain ownership of your content, but grant MaestroWay a license to use it as needed to provide Services.

8) Disclaimers

The Services are provided on an “as is” and “as available” basis. MaestroWay disclaims all warranties, express or implied, including merchantability, fitness for purpose, or non-infringement.

We do not guarantee uninterrupted or error-free Services, or specific business results.

9) Limitation of Liability

To the maximum extent permitted by law:

• MaestroWay’s total liability for any claim is limited to the fees paid by you in the 3 months preceding the claim.

• We are not liable for indirect, incidental, special, consequential, or punitive damages.

10) Indemnification

You agree to indemnify and hold harmless MaestroWay, its directors, officers, employees, and partners from any claims, damages, or expenses arising out of:

• Your misuse of the Services;

• Violation of these Terms;

• Violation of applicable law or third-party rights.

11) Termination

• You may cancel your subscription at any time; cancellation takes effect at the end of the billing cycle.

• MaestroWay may suspend or terminate Services immediately for:

  • Non-payment;

  • Breach of these Terms;

  • Legal or security risks.

• Upon termination, your access will be disabled. Certain obligations (payment due, indemnity, limitation of liability) survive termination.

12) Governing Law & Dispute Resolution

These Terms shall be governed by the laws of England and Wales (UK law). Any disputes shall be resolved through binding arbitration. By using our Services, you waive the right to participate in class actions or jury trials.

13) Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notices. Continued use after changes means you accept the updated Terms.

14) Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and MaestroWay.
